Strategic investment secures exclusive music rights and expands content slate for acclaimed filmmaker's studio

Saregama India Ltd has formed a partnership with Bhansali Productions Private Limited. This marks an important move in India's entertainment industry as the deal involves a significant equity investment and combines the strengths of both powerhouses.
The partnership merges Bhansali Productions' renowned storytelling with Saregama's leadership in music and live events. Together, they aim to create a new type of media and entertainment company. Founded in 1996 by filmmaker Sanjay Leela Bhansali, the production house has made iconic films like Devdas, Padmaavat, Gangubai Kathiawadi, and the Netflix series Heeramandi.
According to the agreement, Bhansali Productions will exclusively sell all future film music to Saregama based on a predetermined formula. This approach removes the need for competitive bidding and ensures Saregama a reliable flow of high-quality content. It also helps Saregama manage acquisition costs while gaining long-term market share in new music.
The investment will allow Bhansali Productions to greatly increase its content offerings while keeping intellectual property rights for all future films. The studio has ambitious plans for more than 10 feature films over the next three years, including Love and War, featuring Ranbir Kapoor, Alia Bhatt, and Vicky Kaushal.
Bhansali Productions showed strong financial performance in FY25, reporting revenue of ₹304 crore, EBITDA of ₹60 crore, and a profit after tax of ₹45 crore. This investment is expected to boost Saregama's earnings per share by FY27 and improve margins in both music and video.
As part of its ongoing strategy, Saregama will gradually reduce its in-house film production over the next one to two years, focusing more on strategic partnerships like this one. Under the new arrangement, Bhansali Productions will keep full creative control while Saregama offers governance oversight and financial management.

Kotak Investment Banking acted as the exclusive financial advisor for this transaction.
